The activities undertaken for this purpose include maintaining common property areas and entrances, sponsoring a Marketing Committee that works to promote the Diamante neighborhood to real estate agents and others, providing appropriate seasonal decorations of common areas, coordinating as necessary with the HSV POA and the Diamante Country Club on issues of joint interest and promoting fellowship and camaraderie. Membership is actively encouraged by ALL property owners.

By-Laws
The following are the By-Laws of the Diamante Property Owners Association, hereinafter referred to as the DPOA a voluntary non profit organization.
1. The DPOA Board will consist of Diamante property owners. The officers of the DPOA board, as well as the general board members, will be recommended by a nominating committee comprised of current board members appointed by the sitting President, and submitted as a slate of candidates to be confirmed by the general membership at its annual meeting. Members must be present to vote. The DPOA Board will consist of President, Vice President, Secretary, Treasurer, and eight general members. The President shall be authorized to appoint committee chairpersons to meet the needs of the DPOA as determined by the board.
The DPOA Board will meet on a regular basis throughout the year, usually monthly. A quorum is required for any board decision and will consist of seven (7) or more current DPOA Board members. Board decisions will be determined by a majority vote.
DPOA Board meetings are open to all DPOA members. Time and location of meetings may be obtained by contacting any DPOA Board member.
2. The fiscal year of the DPOA shall be January 1 to
December 31st.
3. Membership of the DPOA is open to any property owner who owns property in the Diamante Subdivision of Hot Springs Village, and is current with the annual dues of the DPOA. The Board will establish the amount of the annual dues and has the authority to spend the dues on DPOA related activities on behalf of the members. Any increase in dues over the previous year must be approved by the DPOA members at a membership meeting.
The Board makes every effort to work in the best interest of the Property Owners. Dues shall be considered in the arrears if payment is not received by March 1st of the current year.
4. Any member of the DPOA shall be entitled to one vote for each lot owned provided dues are current. Issues presented to the membership by the Board for decision will be decided by a majority of the members voting.
5. The annual meeting of the members shall be held at a place convenient to a majority of the owners each year normally in the month of November for the purpose of confirming new board members and the transaction of any other business authorized to be transacted by the board. The agenda shall include, but not limited to, the following: Financial Review, President’s Review, Projects/Programs completed during the year and any other such matters considered of importance to the DPOA and New Business.
6. Special meetings of the membership shall be held whenever and wherever called by the President or Vice-President and must be called by such officers upon a receipt of a written request from one half of the entire membership.
7. Notice of all meetings of the members, stating time, place, and agenda of the meeting shall be prepared by the President, Vice-President, and or Secretary. All meeting notices shall be e-mailed or mailed 10 days prior to the meeting and or as posted on the bulletin Board of the Diamante CC.
8. A quorum of all general membership meetings of the members shall consist of a minimum of 50 members. The actions approved by a majority of the votes cast at a meeting at which a quorum is present shall constitute the actions of the DPOA.
9. Votes of the membership may be cast in person or by proxy. A proxy may be made by any person entitled to vote and shall be valid only for the particular meeting designated in the proxy and must be filed with the secretary prior to the start of the meeting. All proxies are revocable at any time at the pleasure of the owner granting the proxy.
10. If a meeting of members cannot be organized because a quorum has not been met, the members who are present, either in person or by proxy, may adjourn the meeting from time to time until a quorum is present.
11. The president shall be the chief executive officer of the Association. This office has the power and duties usually vested in the office of president of an association, including but not limited to the power to appoint committees and conduct affairs of the Association.
12. The Vice-President in the absence or disability of the President shall exercise the powers and the duties of the President and assist the President in other matters deemed necessary by the President.
13. The Secretary shall keep the minutes of all proceedings of any meeting of the DPOA. The minutes shall be approved at the next scheduled meeting of the board or general membership meeting. Meeting minutes will be available to any DPOA member upon request.
14. The Treasurer shall have custody of the financial records of the Association, including funds, securities, and evidence of indebtedness. Records will be kept in accordance with standard accounting practices. Upon request of the Board or on a biannual basis the Treasurer will submit all accounting records annually to an independent party selected, by the Board for an audit. Results of the audit will be reviewed and approved by the Board, with any discrepancies so noted or action taken.
15. The board of Directors shall consist of the above officers, and seven other members (members at large), one member at large position being an assistant Treasurer, appointed by the board. Four members will be elected each year to the Board, replacing the four longest serving members. Each member shall have a three year term. A Board member can be elected for only two consecutive terms and after being absent from the board for one year, can again stand for re-election to the board. When Board vacancies occur during the year, the Board is authorized to fill the vacancies until the end of the vacating Board members term.
16. Fiscal management shall be consistent with standard accounting practices and supplemented by the following provisions. The receipts and expenditures of the DPOA shall be credited and charged to the appropriate current accounts and/or the emergency reserve fund. The reserve fund shall be reviewed annually by the board and adjusted as requirements change. An Annual budget shall be developed as directed by the President and approved by the board of directors of the DPOA.
Expenditures approved in the Annual Budget and expenditures up to $500. may be paid by the Treasurer upon authorization by the President. All other expenditures must be authorized by a vote of the DPOA Board.
17. By-Laws will be reviewed each year by a committee appointed by the President, and recommended changes, if any, will be submitted for approval to the general membership either at the general membership meeting or by any other communications recommended by the committee.
18. Procedures will be documented and maintained for each major task under the responsibility of the DPOA. DPOA board members shall review annually and update the following as required:
• Right of way mowing and maintenance
• Diamante residential entrances upkeep and maintenance
• Sprinkler /water and electrical system upkeep and maintenance.
• Holiday decorations
• Other entrance upkeep and maintenance
• Mowing and trimming of entrances
19. The DPOA must approve and will be responsible for displaying all decorations, flags, banners, etc. at all Diamante entrances.
